If you reduce the opacity in the top layer, the layer below will become visible. Don't change the opacity in the lower layer, keep it at 100%.

The situation I had when I made that post meant a standard approach like this was not possible. I needed to fade one layer up while I faded the other down.
I'm not entirely sure why, but in AE doing this with a simple fade results in an alpha channel with less than 100 percent opacity in the middle of the transition.
Anyway, using a Blend effect from the Channels menu seems to be the way to go....
